Standard terms for photographic and video production related services are stated below (project or contract specific terms may be more detailed and will always override any standard terms stated):
1. Rates
1a. Charges and rates are specific in quotations and or invoices for each contract, job, or project. Rates published are indicative and may be depending on individual client specification or brief. Rates published are subject to change and are not binding.
2. Payment Terms.
2a. Payment terms for contracted clients are flexible and are negotiated on a per-client basis. This typically ranges between 7 days and 30 days upon invoice receipt. For non-contracted clients for photography, video production and other services, we require full balance or a 50% deposit to confirm jobs with balance paid on completion. Where a deposit is paid, we will send watermarked images or sample files for review purposes and only release copyright granted work once balance payment is received. Clients can make 1 full payment to confirm jobs in order to reduce administration and expedite delivery of work produced.
2b.Sage Studio reserves the right to charge interest on late payments at the rate prescribed by the late Payment of Commercial Debts (interest) Act 1998 from the date the payments was due until the date payment is made.
2c. Sage Studio reserves the right to hold all material before the payment is paid in full.
3. Cancellations
3a. We reserve the rights to terminate our provision of service at any time. In the event that Sage Studio is unable to perform their duties for any reason, including but not limited to; theft, fire, or illness, all relevant payments received will be returned to the client and Sage Studio will have no further liability.
3b. In the event of client cancellation requests, we will charge for work that has already been carried out, and where resources (such as studio time) and talent (such as Models) has been pre-booked we would normally charge 50% of the agreed rates providing 3 days (72hrs) notice is provided. Sage Studio reserves the right to charge the full invoiced fee in the event of cancellations. Cancellation requests will be reviewed on an individual basis, and decisions will be made at our discretion.
4. Rescheduling
4a. In the event of client reschedule requests, we will charge for work that has already been carried out, and where resources (such as studio time) and talent (such as Models) has been pre-booked we would normally charge 25% of agreed rates providing 3 days (72hrs) notice is provided. Sage Studio reserves the right to charge up to the full invoiced fee in the event of reschedule request. Each request will be reviewed on an individual basis, and decisions will be made at our discretion.
4b. In the event of delays caused by Client’s failure to comply with agreed dates, times, access, facilities, organisation or other requirements specified or agreed, we reserve the right to charge additional costs incurred. Additional costs, including overtime rates incurred, will be calculated at a pro-rata rate equal to x2 of agreed rates.
5. Conduct of shoot
5a. The shoot will be arranged on date(s) mutually agreed between the Parties.
5b. During the shoot Sage Studio will take account of the client’s reasonable instructions in respect of the shoot brief.
5c. If the client is not present during the shoot then Sage Studio’s interpretation of the brief shall be deemed acceptable to the client.
6. Amendments and Change Control
6a. Any amendments to the original brief or specification must be in writing and agreed upon by both parties. 6b. Relevant changes to rates and turnaround times will be calculated based on the proposed changes and a new rate amendment quote will be provided and must be agreed with the client prior to any amended or additional work is carried out.
6c. Alterations to the original specification will increase agreed turnaround times.
7. Acceptance and Delivery
7a. Following the completion of the shoot Sage Studio will deliver the material to the client as soon as reasonably practicable and in the agreed format to enable the client to select the images.
7b. Subject to any previously agreed deadlines for post-production work Sage Studio will carry out any such work required within the 3-5 business day turnaround time but cannot guarantee an urgent turnaround.
7c. Unless expressly agreed in writing the client shall not be entitled to reject the material on the basis of style or composition.
8. Force Majeure
8a. Neither party will be liable for failure to perform as a result of events or causes beyond their control such as fire, explosion, Act of God, picket, strike, and adverse weather.
9. Confidentiality
9a. Each party shall not use, copy, share, or sell, the data and business information of the other party, except as required by law. Both parties agree not to divulge to any other person, or make use of for own purposes, any confidential company or client information that may have been disclosed during the course of the agreement.
10. Data Storage
10a. After the completion of a job or project, clients are provided with the final project files. The duration and length of time we store files thereafter is at our discretion and is not liable for files deleted, lost or damaged after project completion.
11. Data Protection
9a. All parties will conform to the requirements of the relevant UK Data Protection Legislation and not disclose personal information to any third party, except in accordance with such UK Data Protection Legislation.
12. Copyright
10a. By Law content creators always own copyright to creative work produced. Sage Studio grant’s usage rights to all clients and usage terms are specified and agreed during the initial quotation phase depending on client requirements. Retainment of copyright allows us to protect ourselves from plagiarism, unauthorised modifications, modifications or usage that is beyond agreed project or job scope.
10b. Sage Studio always reserves the right to use work produced within our web or print portfolio, however commercial clients can request for work produced for them not to be used by Sage Studio within our work portfolio (Note: this may at times increase quoted rates and must be requested at quotation state). Images involving models, voiceovers or other talents, will only be used where an appropriate model release form has been signed. We do not sell photographs to any third party unless agreed with clients.
13. Insurance
13a. Sage Studio carries public liability insurance cover of £2,000,000 and a copy of our insurance certificate is available on request.
14. Variations.
14a. These Terms and Conditions are valid at the time of booking and are subject to variation. Clients will be notified of any variations prior to booking.
15. Applicable Law.
15a. All agreements shall be governed by the laws of the United Kingdom.
